We have VS2008 full version installed in our computer.
We recently bought VS2013 Professional. But I saw a line on back of the product
"To qualify for this upgrade, you must license VS professional 2012"

Does it work if I upgrade it now? Meaning, VS2008 to VS2013 will it work properly.

This is weird. There are no upgrades. VS versions are separate products. You can install VS 2013 and keep VS 2008 if you need it. All you need to decide is to uninstall VS 2008 or not, it's up to you. It should not interfere with VS 2013 installation.

In theory (legally), you should have a version that qualify for the upgrade. On the other hand, as one person is allowed to install and use Visual Studio on many computers, it would be cumbersome if one would have to install an old version just to install the newer one. In practice, if you don't need the old version and it is not yet installed, you might prefer to just install the new one. You would rarely uninstall an old version these days.

Our computers?... If you have multilple computers then each user should have its own licence... And each user that does not have a previous version licence should buy a full licence.

By the way, for small company there are the Community edition and the Express edition that might be enough depending on your projects and company size.
