Have you run the Microsoft.Practices.ESB.Core.msi for the core that will push the ESB assemblies into the GAC?  Another test is to check whether the ESB assemblies show up in the .Net tab of the of the Add Reference dialogue box.  A path is entered to the installation path bin directory so the assemblies can be found by the build process.  If they are not showing up there then it is possible this entry has been corrupted.   Also I would use BizTalk 2009 (non-Beta).
