can we create two Sharepoint 2010 site with Commerce Server 2009 on a single server? if yes can we update commerce server out of box webparts diffrently for both site?

if your requiredment is that creating two or more sharepoint site (extended and adminitrator) on single server then I say Yes, you can.

You can also created different catalogs for  them or you can use the same catalog for them as you wish to want to do.
